        I. Both parties to this service agreement are BAIINFO and the users. This service agreement has the contractual effect:
        Before you become a user of BAIINFO, you should read, agree and accept all the terms and conditions contained in the service agreement.
        After you confirm this service agreement, this service agreement will have legal effect between you and BAIINFO. Please read the User Terms carefully. If you have any questions, please contact BAIINFO in time. Regardless of whether you actually read this service agreement carefully before registration, as long as you click the "Agree" button and successfully register as a user according to the registration procedure of BAIINFO, your behavior still means that you agree and sign this service agreement.

        II. Definitions and General Provisions:
        1. BAIINFO:
        BAIINFO is a place established by Beijing BAI CHUAN INFO CO LTD (hereinafter referred to as “BAIINFO”) that enjoys independent intellectual property rights and uses the Internet to provide relevant services.
        2. BAIINFO Member:
BAIINFO users can become BAIINFO members after registering. The member is unique. After registering as a member, you can enjoy the relevant services provided by BAIINFO according to the service type you choose.
        3. Membership:
        Members who register with BAIINFO must be individuals or organizations with the following conditions:
        1) A business unit established in accordance with the law and capable of independently assuming responsibilities;
        2) Having corresponding capacity for civil rights and civil conduct.
        If a person without capacity of civil conduct, a person with limited capacity of civil conduct, or an organization without business or specific business qualification is improperly registered as a member of BAIINFO, or a person uses online services beyond his or her civil rights or capacity, the service agreement between him or her and BAIINFO will be invalid from the beginning. If it occurs, BAIINFO has the right to immediately cancel the member and corresponding account, and investigate all legal liabilities for using BAIINFO.
       Member registration refers to the process that users visit BAIINFO website, fill in relevant information as required, confirm service terms and complete the required registration.
        4. Membership Acquisition:
        Free Trial Account: You must fill in the registration form in detail and agree to the membership agreement. After receiving and verifying the registration information you provide, BAIINFO will confirm your trial membership and provide you with limited access, trial account and password according to your requirements. You will become a trial user after logging in to BAIINFO website with the trial account and password.
        Full member: After signing the formal product information purchase contract and paying the membership fee, you will become a full member.

        III. User Obligations:
        1. Users are entitled to possess their own member accounts and passwords on BAIINFO website and log in to the website at any time with their own user names and passwords. Users shall not transfer or authorize others to use their user names in any form. Otherwise, all consequences, such as withdrawal by others, theft of user information, and so on, shall be borne by users themselves;
        2. When registering, users are obliged to provide their true information and ensure the validity and security of those contents, such as e-mail address, contact number, contact address, postal code, and so on, so as to assure that BAIINFO and other users can contact them through the above contact methods. At the same time, users are also in duty bound to update the relevant registration information in time when changed. In addition, users shall guarantee not to register on BAIINFO website with others’ information. BAIINFO shall not shoulder any responsibility for the losses caused by concealment or falsification;
        3. Users promise that when using BAIINFO website, all behaviors shall comply with national laws and regulations and relevant rules of BAIINFO, and conform to social public interests and public ethics. For the occurrence of any legal consequences, users shall independently assume corresponding legal responsibilities in their own names.

        IV. User’s Rights (Free trials accounts only enjoy limited services):
        1.Full members could search the market intelligence of the industries you have subscribed without any limits (Free trial accounts could only search 50-100 pieces of information limitedly);
        2. BAIINFO will design a free web page for your company (1,500 Chinese characters and 3 pictures are included ), and the web page will be updated for five times without any charges, which makes the online advertisement for your company possible (Only for our full members);
        3.Users’ company advertisement image will be shown in the home page of relevant columns in BAIINFO’s website, free within one month (Only for our full members);
        4.BAIINFO could make news reports of the users’ updated business movement and collect in a dedicated column based on the users’ need (Only for our full members);
        5.In accordance with our users’ need, your company’s products could be included into BAIINFO’s price database of relevant column, which will be updated and maintained in time (Only for our full members).

        V. BAIINFO’s Rights and Obligations
        1. BAIINFO is responsible for improving our service based on the current technology and strives to upgrade and improve technologies to ensure the users’ seamless experience of our online services. BAIINFO shall notice the users in advance, in case of temporarily out of services due to system maintenance or upgrade. In case of the service suspension caused by network errors, hardware failure beyond BAIINFO’s control or other force majeure, BAIINFO shall not assume any responsibility for any inconvenience and loss during the service suspension.
        2. In case of hacker attack, computer virus intrusion and attack, government bans, changes in existing laws and regulations, fires, earthquakes, turmoil, wars, power cuts, internet hardware and software malfunctions and failure of our cooperation units or related telecom sectors, the overall or partial internet interruption, delay and missing due to its human negligence error, and the disclosure, missing, misappropriation and tamper of registered data caused by the errors in data transmission and storage due to its human negligence error, BAIINFO shall not assume any liability that may result thereof.
        3. BAIINFO shall not be liable for any personal information leakage or capital losses caused by the members informing others of the member’s password or sharing the registered account with others.
        4. BAIINFO is obliged to respond promptly to the questions and complaints related to online service or registration that users encounter when registering and using BAIINFO service.
        5. In case of any unauthorized use of full member’s password and account or any other security problems, the user shall immediately notify BAIINFO, otherwise the full member may not get the security protection from BAIINFO.
        6. BAIINFO guarantees the confidentiality of full members' personal or corporate private information. However, BAIINFO shall be exempted from liability for disclosing full members’ information under the following circumstances:
        1) Obtain the explicit authorization or consent of full members in advance;
        2) In accordance with relevant laws and regulations;
        3) In accordance with the requirements of relevant government departments or judicial organs in accordance with legal procedures;
        4) To safeguard the interests of the public;
        5) To safeguard the legitimate rights and interests of BAIINFO.
        7. Due to the time difference between bank transfer, inter-bank transfer and online banking transfer, BAIINFO does not guarantee that the funds will arrive at any time. Therefore, full members shall not claim any compensation from BAIINFO on this basis.
        8. In case of any inappropriate behavior on BAIINFO or any other situation that BAIINFO considers necessary to terminate the service, BAIINFO has the right to delete the relevant information and terminate the service at any time without obtaining the consent of users.
        9. BAIINFO is not obligated to conduct prior review of all users’ registration information, all online service activities and other matters related to the service. However, if BAIINFO is informed through other means or has evidence to prove that a specific user may have a major problem, BAIINFO shall have the right to retain or delete the information, cancel the user account or continue or stop providing services to the user, and investigate relevant legal liabilities.
        10. BAIINFO has the right to check the registration information and login behavior of users, and if it finds any problem or doubt in the registration information or behavior, it has the right to make inquiries and send a notice asking for correction or directly make decisions about deletion, etc.
        11. If it is confirmed by national effective legal documents or administrative punishment decisions that the user has violated the law, or BAIINFO has sufficient factual basis to determine that the user has violated the law or service agreement, BAIINFO has the right to issue a notice requiring correction or directly make decisions about deletion, etc.
        12. Users grant BAIINFO an exclusive, permanent, and free license (and the right to sublicense such rights) for all kinds of information published on BAIINFO including pictures, text, audio, images, and page settings, as well as the intellectual property rights or related products derived therefrom. Thus, BAIINFO shall have the right (in whole or in part) to use, reproduce, revise, rewrite, publish, translate, distribute, perform, and display, as well as the right to use any form, media or technology now known or later developed.
        13. For any relevant software, program, and content used by BAIINFO, including but not limited to works, pictures, files, materials, website structure, website layout, web design, and advertisements or information presented to users through BAIINFO or advertisers, BAIINFO or other right holders have corresponding intellectual property rights, including but not limited to copyright, trademark right, patent right or other exclusive rights, etc., and shall be protected by relevant laws.
        14. If a BAIINFO member violates the laws of the People's Republic of China due to violation of relevant regulations, he/she shall be responsible for all consequences, and BAIINFO shall not assume any responsibility.

        VI. Information Authenticity:
        BAIINFO only serves as a tool for users (service platform) to negotiate, communicate and obtain all kinds of service-related information. BAIINFO cannot guarantee the authenticity and validity of the product information and advertising information released by the user.
        BAIINFO has the right to immediately delete the user account and the information submitted by the confirmed user in case of any violation of laws, regulations, rules and other relevant systems of BAIINFO. For users who seriously or repeatedly violate the content of this Agreement, BAIINFO shall have the right to deal with them in accordance with the content of this Agreement, and at the same time shall have the right to report to the public security organ in time.

        VII. Termination of Services:
        BAIINFO may terminate its services to users under the following circumstances:
        1. If the service to the user is terminated by BAIINFO for violating the relevant provisions of this Service Agreement, BAIINFO will notify the user when the service is terminated. If a user registers as a user of BAIINFO again or in the name of another person after the service is terminated, BAIINFO may unilaterally terminate the Service Agreement with such user.
        2. Once BAIINFO finds that the main contents of user's registration information are false, BAIINFO may terminate the Service Agreement with the user at any time.
        3. Other circumstances in which BAIINFO deems it necessary to terminate the service.

        VIII. Privacy Protection:
        The user's personal information belongs to the provider and can only be used for providing network services and other related activities, and may not be used for other purposes. Without the consent of users, BAIINFO will not disclose, transfer or sell the user party list and other data related to users' privacy or business secrets to any third party for profit, except as otherwise stipulated by laws and administrative regulations.         VIIII. Disclaimer:
        (I) BAIINFO cannot give express and implied guarantees of all the content provided on this website (including but not limited to the information, news, and advertising on this web), services, and other sites and published content linked to this website. BAIINFO cannot be held responsible for any loss and any loss arising out of the use of this website (including but not limited to direct, indirect, incidental, punitive and consequential loss).

        X. Special Suggestion:

        XI. Resolution of Disputes:
        Users agree that in case of any dispute between user and BAIINFO concerning the content or performance of this Agreement, both parties shall settle the dispute through negotiation. If no agreement can be reached through negotiation, either party may submit the case to Beijing Arbitration Commission for arbitration.

        Supplementary Articles
        1. For issues not covered in this Agreement, please refer to relevant national laws and regulations. In case of conflict between this Agreement and national laws and regulations, the national laws and regulations shall prevail.
        2. This Agreement shall take effect from the date of promulgation, and the original Service Agreement shall be annulled at the same time.
